Important Notice: Vcita Home Inspection & Service LLC is a home inspection and property service company. We are NOT a law firm, insurance company, insurance agency, public adjusting firm, or financial advisory service. None of our tools, templates, or content should be considered professional advice. See Section 3 for complete details.

1. Acceptance of Terms

By accessing, browsing, or using the Vcita Home Inspection & Service LLC website, client portal, mobile application, or any associated services (collectively, the “Platform”), you (“User,” “Client,” or “you”) acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions (“Terms”), together with our Privacy Policy and Disclaimer, which are incorporated herein by reference.

If you do not agree to these Terms in their entirety, you must immediately cease all use of the Platform. Your continued use constitutes ongoing acceptance of these Terms and any future amendments. We reserve the right to modify these Terms at any time. Material changes will be communicated via the Platform or email. Your continued use after such notice constitutes acceptance of the revised Terms.

These Terms constitute a legally binding agreement between you and Vcita Home Inspection & Service LLC. By creating an account, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

2. Description of Platform & Services

Vcita Home Inspection & Service LLC operates a technology platform that provides the following services:

  • Home Inspection Services: Scheduling, management, and delivery of 4-Point Inspections, Wind Mitigation Assessments, and related property inspections in the state of Florida.
  • Client Portal: A digital dashboard for managing properties, documents, inspections, claims, and related records.
  • Letter Template Library: Pre-drafted letter templates for insurance correspondence, contractor communications, and property management matters.
  • Policy Intelligence Tools: AI-assisted analysis of insurance policy documents for informational purposes.
  • Document Vault: Secure cloud storage for property-related documents, photos, and records.
  • Financial Hub: Tools for tracking receipts, purchases, and warranty information.
  • Weather & Claims Tracking: Monitoring of weather events and claim status management.
  • Contractor Referral Directory: A directory of vetted contractors for homeowner reference.

3. CRITICAL DISCLAIMER - No Professional Advice

THIS IS THE MOST IMPORTANT SECTION OF THESE TERMS. PLEASE READ CAREFULLY.

3.1 General Information Only. All content, tools, letter templates, policy analysis outputs, recommendations, guidance, AI-generated suggestions, and any other materials provided through this Platform (collectively, “Platform Content”) are provided for general informational and educational purposes only. Platform Content does NOT constitute and shall NOT be construed as:

  • Legal advice or the practice of law
  • Insurance advice or the practice of insurance adjusting, underwriting, or brokerage
  • Financial advice, tax advice, or accounting services
  • Professional engineering, architecture, or construction advice
  • A substitute for consultation with licensed professionals in any field

3.2 Letter Templates. The letter templates provided through the Platform are general-purpose informational templates only. They are NOT tailored to your specific legal, insurance, or financial situation. Using a template letter does not create an attorney-client relationship, insurance advisor relationship, or any other professional advisory relationship with Vcita Home Inspection & Service LLC. You are solely responsible for reviewing, customizing, and verifying the accuracy and appropriateness of any letter before sending it. Vcita Home Inspection & Service LLC makes no representation or warranty that any letter template will achieve a desired result, including but not limited to insurance claim approval, policy modification, premium reduction, or dispute resolution.

3.3 Policy Intelligence & AI Tools. Any analysis, score, recommendation, or output generated by the Platform’s AI-powered tools (including but not limited to Protection Scores, policy analysis, what-if scenarios, and agent letter generation) is automated, algorithmic output for informational reference only. These tools do NOT replace the judgment of a licensed insurance agent, attorney, public adjuster, or other qualified professional. AI outputs may contain errors, omissions, or inaccuracies. You must independently verify all AI-generated content before relying on it or taking action based upon it.

3.4 Inspection Reports. Inspection reports document the observable condition of a property at a specific point in time based on non-invasive visual observation. Inspections are not exhaustive, do not guarantee insurability, and do not warrant the condition or remaining useful life of any system, component, or structure. Inspection findings do not constitute engineering or architectural assessments.

3.5 No Guarantees of Outcomes. Vcita Home Inspection & Service LLC makes absolutely no guarantee, representation, or warranty - express, implied, or statutory - that use of the Platform, its tools, templates, or any Platform Content will result in any particular outcome, including but not limited to: insurance claim approval, policy issuance or renewal, premium savings, successful dispute resolution, contractor performance, or legal outcomes of any kind.

3.6 Duty to Seek Professional Counsel. You are strongly and unequivocally advised to consult with appropriately licensed professionals - including but not limited to attorneys, licensed public adjusters, insurance agents, and financial advisors - before making any decisions based on Platform Content. Your reliance on Platform Content without independent professional consultation is at your own risk.

4. User Accounts, Registration & Data

4.1 Account Creation. To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete.

4.2 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify Vcita Home Inspection & Service LLC of any unauthorized use of your account or any other breach of security. Vcita Home Inspection & Service LLC will not be liable for any loss arising from your failure to protect your account credentials.

4.3 Account Termination by User. You may request account deletion at any time by contacting us at [email protected]. Upon termination, your access to the Platform will be revoked. We may retain certain data as required by law or for legitimate business purposes in accordance with our Privacy Policy.

4.4 Account Suspension or Termination by Vcita Home Inspection & Service LLC. We reserve the right to suspend, restrict, or terminate your account at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, suspected fraudulent activity, abuse of Platform resources, or conduct that harms other users or Vcita Home Inspection & Service LLC’s business interests.

4.5 Data Ownership. You retain ownership of data you upload to the Platform (documents, photos, property information). By uploading content, you grant Vcita Home Inspection & Service LLC a non-exclusive, royalty-free license to store, process, and display your content solely for the purpose of providing the Platform services to you. Vcita Home Inspection & Service LLC will not sell your personal data to third parties.

4.6 Data Accuracy. You are solely responsible for the accuracy, completeness, and legality of data you provide through the Platform. Vcita Home Inspection & Service LLC is not responsible for verifying user-provided data and shall not be liable for any consequences arising from inaccurate or incomplete information provided by users.

5. User Responsibilities & Acceptable Use

By using the Platform, you agree to:

  • Comply with all applicable laws, including federal, state, and local laws and regulations of the state of Florida and the United States.
  • Provide truthful information in all forms, uploads, communications, and transactions.
  • Not misuse letter templates by submitting fraudulent, misleading, or defamatory correspondence to any party, including insurance companies, government agencies, contractors, or other third parties.
  • Not use AI tools to generate false or misleading content for insurance claims, legal proceedings, or any other purpose.
  • Not attempt to circumvent any security features, access controls, or usage limitations of the Platform.
  • Not reverse engineer, decompile, or disassemble any portion of the Platform.
  • Not upload malicious content including viruses, malware, or any content that could harm the Platform or other users.
  • Not use automated bots, scrapers, or crawlers to access the Platform without express written permission.
  • Not impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity.
  • Take full responsibility for your decisions and actions based on information obtained from the Platform. You acknowledge that you, and not Vcita Home Inspection & Service LLC, bear all risk associated with your use of Platform Content, letter templates, and AI-generated materials.

Violation of these responsibilities may result in immediate account termination, legal action, and reporting to appropriate authorities where applicable.

6. Intellectual Property

6.1 Platform Ownership. All intellectual property rights in the Platform - including but not limited to software code, user interface designs, logos, trademarks, service marks, text, graphics, letter template frameworks, AI models, algorithms, and documentation - are the exclusive property of Vcita Home Inspection & Service LLC or its licensors and are protected by applicable intellectual property laws.

6.2 Limited License. Subject to these Terms, Vcita Home Inspection & Service LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial property management purposes. This license does not include the right to: (a) resell or commercially distribute Platform Content; (b) modify, adapt, or create derivative works from Platform Content (except for personalizing letter templates for your own use); or (c) use data mining, robots, or similar data gathering tools on the Platform.

6.3 Generated Content. Letters and documents you generate using the Platform tools are yours to use for their intended purpose. However, the underlying template frameworks, AI prompts, and processing logic remain the property of Vcita Home Inspection & Service LLC.

7. Limitation of Liability

7.1 DISCLAIMER OF WARRANTIES. THE PLATFORM AND ALL PLATFORM CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, OR AVAILABILITY. Vcita Home Inspection & Service LLC DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7.2 LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Vcita Home Inspection & Service LLC, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR:

  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Insurance claim denials or delays
  • Policy cancellations, non-renewals, or premium increases
  • Financial harm resulting from reliance on letter templates, AI outputs, or any Platform Content
  • Actions or inactions of insurance companies, contractors, government agencies, or any third parties
  • Errors or omissions in inspection reports, AI analysis, or generated documents
  • Property damage, personal injury, or any losses arising from contractor referrals
  • Unauthorized access to or alteration of your data
  • Any other matter relating to the Platform

7.3 MAXIMUM LIABILITY CAP. IN NO EVENT SHALL Vcita Home Inspection & Service LLC’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO Vcita Home Inspection & Service LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD). THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.

7.4 ACKNOWLEDGMENT. YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS SET FORTH IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BARGAIN BETWEEN YOU AND Vcita Home Inspection & Service LLC, AND THAT Vcita Home Inspection & Service LLC WOULD NOT PROVIDE THE PLATFORM WITHOUT SUCH LIMITATIONS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE LIMITATIONS ABOVE SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

8. Indemnification

You agree to indemnify, defend, and hold harmless Vcita Home Inspection & Service LLC, its owners, officers, directors, employees, agents, partners, contractors, affiliates, successors, and assigns from and against any and all claims, demands, actions, liabilities, losses, damages, judgments, settlements, penalties, fines, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to:

  • Your use of or reliance on the Platform or any Platform Content
  • Your violation of these Terms
  • Your violation of any law, regulation, or third-party right
  • Any content, data, or information you submit, upload, or transmit through the Platform
  • Your use of letter templates, including any letters sent to insurance companies, contractors, or other parties
  • Your reliance on AI-generated content, policy analysis, or any automated outputs
  • Any dispute between you and a third party (including insurance companies, contractors, or government agencies) arising from your use of the Platform
  • Any claim that your use of the Platform caused harm to a third party

This indemnification obligation shall survive the termination of your account and these Terms.

9. Dispute Resolution & Governing Law

9.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

9.2 Informal Resolution. Before initiating any formal proceedings, you agree to first contact Vcita Home Inspection & Service LLC at [email protected] and attempt to resolve the dispute informally for a period of at least thirty (30) days. Most concerns can be resolved quickly through good-faith communication.

9.3 Binding Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, that cannot be resolved through informal resolution shall be finally settled by binding arbitration administered in accordance with the rules of the American Arbitration Association (“AAA”) then in effect. The arbitration shall be conducted in Florida by a single arbitrator. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

9.4 Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST Vcita Home Inspection & Service LLC.

9.5 Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court’s jurisdictional limits.

9.6 Statute of Limitations. You agree that any cause of action arising out of or related to the Platform must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

10. Third-Party Services & Contractor Referrals

10.1 Third-Party Links. The Platform may contain links to third-party websites, applications, or services. Vcita Home Inspection & Service LLC has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party sites or services.

10.2 Contractor Referrals. The contractor referral directory is provided for informational convenience only. Vcita Home Inspection & Service LLC does not employ, endorse, guarantee, or warrant any contractor listed in the directory. Listing does not create an agency, partnership, joint venture, or employment relationship between Vcita Home Inspection & Service LLC and any contractor. You are solely responsible for performing your own due diligence, verifying licenses and insurance, and entering into separate agreements with any contractor. Vcita Home Inspection & Service LLC shall not be liable for any contractor’s work quality, timeliness, pricing, conduct, or any damages or losses arising from your engagement of any contractor.

10.3 Insurance Company Interactions. Any interactions, negotiations, or correspondence you have with insurance companies (whether using Platform tools or not) are solely between you and the insurance company. Vcita Home Inspection & Service LLC is not a party to, and bears no responsibility for, the outcome of any insurance-related matter.

11. Modifications, Severability & General Provisions

11.1 Modifications to Terms. Vcita Home Inspection & Service LLC reserves the right to modify these Terms at any time. Changes will be effective upon posting to the Platform with an updated “Effective Date.” For material changes, we will make reasonable efforts to notify you via email or a prominent notice on the Platform. Your continued use of the Platform after any changes constitutes acceptance of the revised Terms.

11.2 Modifications to Platform. Vcita Home Inspection & Service LLC reserves the right to modify, suspend, or discontinue any feature or functionality of the Platform at any time, with or without notice, and without liability to you.

11.3 Severability. If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

11.4 Entire Agreement. These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and Vcita Home Inspection & Service LLC regarding the Platform and supersede all prior or contemporaneous agreements, understandings, or representations.

11.5 No Waiver. The failure of Vcita Home Inspection & Service LLC to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

11.6 Assignment. You may not assign or transfer these Terms or your rights hereunder without the prior written consent of Vcita Home Inspection & Service LLC. Vcita Home Inspection & Service LLC may assign these Terms without restriction.

11.7 Force Majeure. Vcita Home Inspection & Service LLC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, government actions, internet disruptions, or power failures.
